Shiva, being the Ice Aeon, is vulnerable to Fire. And since nearly all of her attacks are Ice-elemental, using a Garment Grid or accessory with the "Ice Eater" auto-ability means that that character or characters will be healed by Ice-elemental attacks.
For offense, augment the party with "Haste" and the following party is recommended: Dark Knight/Black Mage, Alchemist/White Mage, and Samurai, Berserker, or Warrior. Carry several Mega-Potions just in case she does manage to inflict damage with her attacks. Overall, the fight is not difficult as long as you have Ice Eater. If not, then have Protect and Shell on the party at the start of the fight and hit her with Fire elemental attacks such as Flametongue and Firaga.
